Terms of Service

The short version. The free notebook is governed by the BSL 1.1 license in the GitHub repo, not these Terms. These Terms govern your use of usemetriq.com, the signup flow, and Metriq Cloud (the LLM gateway behind your sk-metriq-... key). Use Metriq for lawful purposes. We provide it "as is" with no warranty.
1. The open-source notebook
The Metriq notebook is licensed under the Business Source License 1.1, full text at github.com/karinje/metriq/blob/main/LICENSE. You may use, modify, and self-host it for any non-resale purpose under the License's terms. The license converts to Apache 2.0 three years after each release. These Terms do not govern your use of the open-source notebook; the LICENSE file does.
2. Metriq Cloud (signup + LLM gateway)
By creating a Metriq Cloud account at usemetriq.com/signup or topping up credits at usemetriq.com/topup, you agree to these Terms.
3. Your account
You are responsible for keeping your sk-metriq-... API key secure. Don't share it, embed it in client-side code, or commit it to public repos. Notify us immediately if you suspect compromise ([email protected]) — we'll rotate the key. You're liable for activity on your account.
4. Acceptable use
You may NOT use Metriq Cloud to:
- Violate any law or regulation, including export controls, privacy laws, or intellectual property law.
- Generate content that harasses, defames, or harms specific individuals.
- Generate, distribute, or attempt to generate CSAM, malware, or content prohibited by upstream LLM providers.
- Attempt to reverse engineer, breach, or evade security controls (rate limits, key validation, abuse detection).
- Resell Metriq Cloud as a competing LLM-routing service.
- Use Metriq to build a product whose primary purpose is the same as Metriq's notebook product (separately restricted by BSL 1.1 license).
Violations result in account suspension without refund.
5. Your data
You retain ownership of all prompts, code, and outputs you generate. We process them only to deliver the service. See our Privacy Policy for details on what's logged and for how long.
6. Billing
- New accounts may get a free trial credit. No billing until you choose to top up. Trial amount, if any, is shown at signup and may change over time.
- Top-ups are one-time charges via Stripe. Credits do not auto-renew.
- Credits do not expire as long as the account remains active.
- Token costs are passed through at provider rates plus a small platform margin (disclosed at top-up time).
- Refunds available within 30 days of payment, minus consumed credits, at our discretion.
7. Cancellation
Email [email protected] to delete your account. API key is invalidated immediately. Account data deleted within 30 days unless retention required by law (billing records: 7 years).
8. Service availability
Metriq Cloud is provided as a best-effort service. No SLA on the free tier or on standard top-up accounts. Outages are reported on the GitHub repo and announced to active users by email when material.
9. Disclaimer of warranties
Metriq is provided "as is" and "as available." We disclaim all implied warranties to the maximum extent permitted by law, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated outputs may be incorrect, biased, or otherwise flawed. You are responsible for reviewing AI outputs before relying on them for any decision, code commit, or analysis.
10. Limitation of liability
To the maximum extent permitted by law, our total liability arising from these Terms is limited to the greater of (a) $100 USD or (b) the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages. This section does not limit liability that cannot be limited by law.
11. Indemnification
You agree to indemnify Metriq for claims arising from your misuse of the service or violation of these Terms.
12. Changes
We may update these Terms. Material changes are announced 30 days in advance via email to active users. Continued use after the effective date constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Disputes are resolved by binding arbitration in San Francisco, California, except for injunctive relief.
